Fixed Wireless Terms of Service
Terms of Service
(wDSL Addendum)
This agreement between Subscriber and Widomaker Communication Services, Inc. ("Widomaker") shall be effective on the completion of a wireless connection and shall remain in effect for an initial period of One Year. At the end of the initial period this agreement shall automatically become month to month and may be terminated at any time by Widomaker Communication Services, Inc. Subscriber may terminate service after the agreed upon term with 30 days prior written notice. If subscriber terminates agreement before the term is up, there will be a cancellation fee of $250.00.
Upon installation completion, Subscriber will be billed the installation fee and the first full month of service. Widomaker Communication Services, Inc. will bill Subscriber on a monthly basis or on the billing cycle chosen by Subscriber provided the cycle is no less than one month. Subscriber will be financially responsible for the full term and termination conditions agreed upon in this service agreement.
Subscriber acknowledges that all equipment will at all times remain the property of Widomaker Communication Services, Inc. Subscriber may not sell, transfer, lease, encumber, or assign any or all of the Equipment to any third party. Subscriber shall pay for the full retail cost of, or the repair or replacement cost of any lost, stolen, un-returned, damaged, sold, transferred, leased, encumbered or assigned Equipment. Subscriber is responsible for any changes to any Widomaker Communication Services, Inc. equipment, software and configuration after Widomaker Communication Services, Inc. completes its service set up. However, if Widomaker Communication Services, Inc. determines that no abuse or misuse of Widomaker Communication Services, Inc.'s Equipment occurred, Widomaker Communication Services, Inc. will repair or replace such Equipment as required to resume Services.
Subscriber agrees to provide the Equipment provided by Widomaker Communication Services, Inc. with power and to leave the Equipment turned on at all times, regardless of Subscriber's use of the Equipment.
Subscriber agrees to abide by the Widomaker Communication Services, Inc. General Service Agreement (Terms of Service) which can be obtained at "http://www.widomaker.com/terms.html" or by requesting a copy of the Terms of Service via phone directly from Widomaker Communication Services, Inc. Sales staff who can be reached at 757-253-7621.
LIMITATION OF LIABILITY AND FORCE MAJEURE: IT IS EXPRESSLY UNDERSTOOD AND AGREED THAT WIDOMAKER COMMUNICATION SERVICES, INC. HAS NOT MADE ANY GUARANTEES OR PROMISES WITH REGARD TO THE EXACT DATE OF THE COMPLETE INSTALLATION AND OPERATIONAL STATUS OF ROOFTOP WIRELESS BROADBAND ACCESS FOR SUBSCRIBER.
WIDOMAKER COMMUNICATION SERVICES, INC. SHALL NOT BE LIABLE TO SUBSCRIBER FOR ANY DELAYS IN THE PERFORMANCE OF SERVICES HEREUNDER OR FOR ANY FAILURE TO PERFORM HEREUNDER IF SUCH DELAYS OR FAILURES ARE DUE TO STRIKES, INCLEMENT WEATHER, ACTS OF GOD, OR OTHER CAUSES BEYOND WIDOMAKER COMMUNICATION SERVICES, INC.'S REASONABLE CONTROL. WIDOMAKER COMMUNICATION SERVICES, INC. WILL NOT BE RESPONSIBLE FOR PERFORMANCE OF ITS OBLIGATIONS HEREUNDER WHERE DELAYED OR HINDERED DUE TO WAR, RIOTS, EMBARGOS, STRIKES, OR OTHER ACTS OF ITS VENDORS AND SUPPLIERS, CONCEALED ACTS OF WORKMEN (WHETHER WIDOMAKER COMMUNICATION SERVICES, INC. OR OTHERS), OR ACCIDENTS. SHOULD SUCH OCCURRENCE CONTINUE FOR MORE THAN 90 DAYS, WIDOMAKER COMMUNICATION SERVICES, INC. OR CUSTOMER MAY CANCEL SERVICE FOR THE AFFECTED SERVICES AND/OR PRODUCTS WITH NO FURTHER LIABILITY.
IN NO EVENT SHALL WIDOMAKER COMMUNICATION SERVICES, INC. BE LIABLE TO SUBSCRIBER, OR ANY THIRD PARTY FOR ANY CLAIMS ARISING FROM OR RELATED TO SUBSCRIBER'S BUSINESS INCLUDING CLAIMS FOR INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS ARISING OUT OF OR RELATED TO THE PROVISION OF SERVICES PURSUANT TO THE TERMINATION OF SUCH SERVICES.
ANY CLAIM OR LEGAL ACTION ARISING OUT OF FAILURE, MALFUNCTION OR DEFECT IN WIDOMAKER COMMUNICATION SERVICES, INC.'S SERVICES OR GOODS, OR ARISING FROM THIS CONTRACT IN ANY RESPECT, SHALL BE BROUGHT WITHIN A PERIOD OF SIXTY DAYS FOLLOWING THE OCCURRENCE OF SAID CLAIM OR SAID CLAIM SHALL BE DEEMED WAIVED. WIDOMAKER COMMUNICATION SERVICES, INC.'S LIABILITY TO SUBSCRIBER HEREUNDER, IF ANY, SHALL IN NO EVENT, EXCEED THE TOTAL AMOUNT CUSTOMER HAS PAID TO WIDOMAKER COMMUNICATION SERVICES, INC. HEREUNDER. WIDOMAKER COMMUNICATION SERVICES, INC. DOES NOT MAKE, AND HEREBY DISCLAIMS, ANY AND ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND TITLE, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE. WIDOMAKER COMMUNICATION SERVICES, INC. DOES NOT WARRANT THAT ITS SERVICE WILL PERFORM AT A PARTICULAR SPEED, WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE.
It is understood that the subscriber ordering such services is authorized to request installation of Equipment at said property and approves, permits and consents to the installation, maintenance, and removal of the Widomaker Communication Services, Inc. antenna and other equipment required to receive Widomaker Communication Services, Inc.'s wireless services at any time.
